The Universal Desk Terms and Conditions
The use of the TheUniversalDesk.com Website and The Universal Desk services constitute acceptance of these terms and conditions.
1. Definitions
Company – “The Universal Desk” and “The Universal Desk, Inc” are the same entity also known as the Company, that provides services via the TheUniversalDesk.com website.
Customer – any person or organization who visits the TheUniversalDesk.com website or submits material for service.
Service – Proofreading, editing, translation or other document alterations provided by the Company.
2. Confidentiality, privacy, ownership and copyright of material
Your privacy is of the utmost concern. All staff sign confidentiality agreements, which state that they will never disclose any personally identifying information about our clients or their work, unless required to do so by law. All staff must adhere to our best practices on data retention and confidentiality.
Material submitted to the Company remains the intellectual property of the original author, including all copyright rights to both the original and edited version. We never share, copy or reproduce any work, in part or in its entirety, without your express, written consent.
3. Content of submitted or created materials
The Universal Desk strives for the highest standards in our editing and our ethics. We take copyright infringement and plagiarism seriously. As such, we reserve the right to refuse or end service if we find that a submitted document contains plagiarism or uses works that the client does not own the copyright to. In that rare situation, the client will be notified that work cannot continue and their fee will be refunded.
Despite that commitment, Universal Desk accepts no liability or legal responsibility for the content in a client’s documents. The responsibility for false or misleading statements, defamation, or copyright infringement remains with the client. The customer hereby indemnifies the Company from any legal action regarding the document submitted for service or the edited document returned to the client.
Customers agree to review changes made by The Universal Desk, and this agreement constitutes an acceptance of changes made. This also serves as acceptance that acknowledgement that The Universal Desk is not liable or responsible or liable for the content.
TheUniversalDesk.com clients are also prohibited from submitting to the site material that contains libelous statements, defamation, obscene content, or content that violates U.S. law.
4. Quality of Service
The Universal Desk and its editors strive for excellence and customer satisfaction. Editors give each document the highest level of service and adhere to industry standard best practices. Due to the nature of writing, we cannot guarantee, however, that our edits will be perfect or free from error.
Clients must review all edited documents and report any problems to The Universal Desk. We will work to correct errors and make you satisfied. However, any decisions about refunds are at the discretion of The Universal Desk if an edited document is found to be less than perfect. That said, we strive to make clients happy with their documents, and will work with them to achieve this.
The Universal Desk is not liable for any loss of revenue or profits related to our service. We are also not liable for any other losses, including indirect, consequential, special, punitive, or exemplary damages related or attributed by any person to our service. This exemption applies to any claim based on errors or omissions, or any other inaccuracies that may appear on the TheUniversalDesk.com or in an edited client document.
5. Refusal of service
The Universal Desk reserves the right to refuse service to any customer or prospective customer for any reason and without explanation.
6. Termination of service and contractual obligations
If a client violates any of these terms and conditions, The Universal Desk has the right to end any and all services and/or contractual obligations with that client.
As soon as payment is received by The Universal Desk, a contract between the customer and The Universal Desk commences begins and serves as official notice that the work shall start. A client may cancel the service at any time before the attempted delivery of edited documents. However, the decision to issue a total or partial refund shall be solely TheUniversalDesk’s to make and considerations include — but are not limited to — processing fees, bank costs, editor payments and other expenses.
Clients are responsible for choosing the appropriate level of service and providing an accurate word count when submitting a document. Responsibility for problems or legal liability from an incorrect order are solely the client’s. The Universal Desk reserves the right to cancel service if the word count provided by the customer underestimates the work by more than two percent. In this case, the Company shall issue a refund, minus any associated fees. Alternatively, the Company can continue the work if the Client pays for the additional work. The Company reserves the right to charge an additional $10 fee to cover administrative and bank fees.
The Universal Desk reserves the right to cancel service if a document is suspected of being infected with a virus. In this case a refund will be issued, minus fees for bank and transfer fees, processing fees, administration fees, editor costs and overhead costs.
The Universal Desk reserves the right to cancel or refuse service to any customer for any reason and without explanation.
7. Accuracy of customer information
The customer is responsible for providing true and accurate personal and contact information. Failure to provide correct and accurate information can result in an incomplete or interrupted service. The customer assumes all legal liability and responsibility for issues resulting from such inaccurate information. In the event that problems arise as a direct result of inaccurate customer information, the company is not required to issue a full refund.
The Universal Desk pledges to make every reasonable effort to keep customer information confidential and secure.
8. Financial fraud or theft
The Universal Desk is not liable or responsible for payment fraud, including but not limited to credit cards used to place orders.
9. Ownership and copyright of business names and Website content
The business name “The Universal Desk” and the TheUniversalDesk.com Website are owned and operated by The Universal Desk, Inc. All material on this web site and associated sites are protected by copyright and trademark law. These names and content cannot be reproduced, republished, or framed without the express permission of The Universal Desk, Inc.
10. Technical disclaimer
The Universal Desk is not responsible for delays caused by unforeseen technical problems including server or connection issues that are beyond our control. We use robust technical architecture to minimize or prevent such problems. In such an unlikely event, we will work diligently to make deadlines and to communicate problems with customers.
The Universal Desk is not liable or responsible for any damage arising from viruses through the use of the TheUniversalDesk site or system.
11. Indemnification
The customer agrees to indemnify and hold The Universal Desk and anyone associated with The Universal Desk harmless for any claim or demand made by any third party arising from the use of this service. This includes attorney’s fees and costs for the service of an attorney.
12. Jurisdiction
The Company is governed by the laws of the State of California in the United States of America. By using the site, the customer submits to the jurisdiction of the courts in that state.
13. Modification of terms and conditions
The terms and conditions may be modified or revoked at any time, for any reason and without notice.
